1. About These Terms

These Terms & Conditions (“Terms”) govern your access to and use of the website located at zayrai.com (the “Site”) and any purchase, inquiry, partnership, or other transaction you conduct with Zayrai International Trading Group (“Zayrai,” “we,” “us,” or “our”). By browsing the Site, placing an order, submitting an inquiry, or otherwise engaging with us, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.

These Terms apply to all visitors, buyers, wholesale customers, suppliers, partners, and any other party that interacts with Zayrai.

2. About Zayrai

Zayrai International Trading Group is a global trading company engaged in import, export, wholesale, retail, cargo, and logistics. Our product categories include, but are not limited to, Steel & Metals, Machinery & Equipment, Tools & Hardware, Automotive Parts, Electrical & Lighting, Pharmaceuticals, Packaging Materials, Agriculture Products, and Mobile Phones & Tech Accessories.

3. Eligibility

By using the Site or placing an order, you represent that:

(a) you are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher;
(b) you have the legal capacity and authority to enter into a binding agreement — and, where purchasing on behalf of a company or organization, you are authorized to bind that entity;
(c) your use of the Site and purchase of our products does not violate any applicable law, regulation, or trade restriction in your jurisdiction or ours.

We reserve the right to refuse service, cancel orders, or terminate accounts where eligibility requirements are not met.

4. Products & Product Information

We make reasonable efforts to present accurate descriptions, specifications, images, and pricing for all products listed on the Site. However:

(a) Product images are for illustrative purposes only and may not exactly represent the final product, packaging, or dimensions.
(b) Specifications for industrial, bulk, and wholesale products (including steel, machinery, and agricultural goods) are subject to manufacturer tolerances and may vary within industry-standard ranges.
(c) We reserve the right to correct errors in pricing or product descriptions at any time. If an order has been placed based on an incorrect price or description, we will contact you before processing and offer you the option to proceed at the correct terms or cancel for a full refund.
(d) Product availability is not guaranteed. We will notify you as soon as possible if an ordered item is out of stock or discontinued.

5. Quotations & Orders

5.1 Quotations. Any price quotation issued by Zayrai is valid for the period stated on the quotation document. Where no period is stated, quotations are valid for 14 calendar days from the date of issue. Quotations are not binding offers and are subject to stock availability and final confirmation.

5.2 Order Placement. An order is placed when you submit a purchase order, complete the checkout process on the Site, or confirm an order in writing by email to info@zayrai.com. Placing an order constitutes an offer to purchase on these Terms.

5.3 Order Acceptance. A binding contract is formed only when we issue a written order confirmation or pro forma invoice. We reserve the right to decline any order at our discretion without liability.

5.4 Wholesale & Bulk Orders. Wholesale and bulk orders may be subject to separate negotiated terms set out in a signed sales contract. In the event of a conflict between a signed sales contract and these Terms, the signed sales contract prevails for the specific matters it addresses.

5.5 Order Modifications & Cancellations. Once an order is confirmed, changes or cancellations must be requested in writing to info@zayrai.com. We will accommodate reasonable requests where goods have not yet been dispatched or committed to a logistics provider, but we cannot guarantee cancellation once an order is in transit or production.

6. Pricing & Payment

6.1 Currency. Unless otherwise stated on an invoice or quotation, all prices are in United States Dollars (USD).

6.2 Taxes & Duties. Prices listed on the Site exclude applicable taxes, customs duties, import tariffs, and any other government-imposed charges. These are the sole responsibility of the buyer unless explicitly stated otherwise in writing.

6.3 Payment Methods. We accept the payment methods displayed on the Site and on your invoice. Payment must be made in full — or in accordance with the deposit and balance schedule set out in your quotation or contract — before goods are dispatched, unless a credit arrangement has been agreed in writing.

6.4 Official Payment Channels. Payment must only be made to the bank account, payment gateway, or account details explicitly confirmed on your invoice, quotation, or signed sales contract. We will never ask you to pay into a personal account, a cryptocurrency wallet, via gift card, or to any unverified third party. See our Anti-Fraud Policy for further guidance.

6.5 Late Payment. Where a payment deadline is missed, we reserve the right to suspend order processing, charge interest on the overdue amount at a rate of 1.5% per month (or the maximum permitted by applicable law, whichever is lower), and recover reasonable costs of collection.

6.6 Currency Fluctuation. For large or long-lead-time orders, final pricing may be subject to currency fluctuation adjustments as specified in the relevant sales contract.

7. Shipping & Delivery

7.1 Shipping Terms. Shipping terms (including Incoterms® where applicable) will be stated on your quotation, pro forma invoice, or sales contract. Where no Incoterms® are specified, delivery is deemed complete when goods are handed to the carrier at our dispatch point.

7.2 Delivery Estimates. Delivery timeframes provided are estimates only and are not guarantees. Delays may occur due to customs clearance, logistics carrier conditions, force majeure events, or factors outside our control. We are not liable for losses arising from delivery delays unless caused directly by our negligence.

7.3 Risk & Title. Risk in the goods passes to the buyer at the point specified in the applicable Incoterms® or, where none are specified, upon handover to the carrier. Title to goods passes to the buyer only upon receipt of full payment.

7.4 Inspection on Delivery. You are responsible for inspecting goods promptly upon delivery. Any visible damage, shortage, or discrepancy must be noted on the carrier’s delivery document and reported to us in writing within 5 business days of delivery.

7.5 Failed Delivery. If a delivery attempt fails due to an incorrect address provided by the buyer, or failure to take receipt, any re-delivery costs are the buyer’s responsibility.

8. Returns, Refunds & Disputes

8.1 General. Our Return & Refund Policy, available on the Site, is incorporated into these Terms by reference. Please review it before placing an order.

8.2 Defective or Incorrect Goods. If you receive goods that are materially defective or do not match your confirmed order, notify us in writing at info@zayrai.com within 5 business days of delivery with photographic evidence. We will investigate and, at our discretion, offer a replacement, credit, or refund.

8.3 Wholesale & Bulk Orders. For wholesale and bulk orders, returns are only accepted where goods are confirmed as defective or non-conforming following inspection. We do not accept returns on correctly supplied goods due to a change in requirements.

8.4 Buyer Protection. Eligible transactions may be covered under our Buyer Protection Policy. Payments made outside official Zayrai channels are not eligible for Buyer Protection.

8.5 Chargebacks. Initiating a chargeback or payment dispute without first contacting us and allowing a reasonable opportunity to resolve the matter may be treated as a breach of these Terms and may result in account suspension.

9. Intellectual Property

All content on the Site — including text, images, logos, graphics, product descriptions, and design — is the property of Zayrai International Trading Group or its licensors and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or use any content from the Site for commercial purposes without our prior written consent. Limited personal, non-commercial use for the purpose of browsing or placing an order is permitted.

10. Accounts & Site Access

10.1 Account Registration. Where account registration is available, you agree to provide accurate and complete information and to keep your login credentials confidential. You are responsible for all activity that occurs under your account.

10.2 Account Security. Notify us immediately at info@zayrai.com if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account where you have failed to maintain adequate security of your credentials.

10.3 Suspension & Termination. We reserve the right to suspend or terminate your account or access to the Site at any time if we reasonably believe you have violated these Terms, engaged in fraud, or posed a risk to other users or to Zayrai.

10.4 Acceptable Use. You agree not to use the Site to: (a) engage in fraudulent, deceptive, or illegal activity; (b) impersonate any person or entity; (c) transmit malware, spam, or harmful code; (d) scrape, data-mine, or systematically extract content without permission; or (e) interfere with the operation of the Site or its infrastructure.

11. Business Opportunities

From time to time we invite applications for business opportunities including Become a Supplier, Become an Investor, Partnership Program, Become a Driver, and Open a Branch. We will never charge a fee to apply for or participate in any of these programs. Any communication requesting a payment, deposit, or registration fee in connection with these opportunities is fraudulent. Please refer to our Anti-Fraud Policy and report any such communication to info@zayrai.com.

12. Third-Party Links & Services

The Site may contain links to third-party websites, logistics providers, or payment processors. These links are provided for convenience only. We do not endorse, control, or accept responsibility for the content, privacy practices, or services of any third-party site or provider. Your interactions with third parties are solely between you and them.

13. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and all content, products, and services provided through it are offered on an “as is” and “as available” basis. We make no warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, except as expressly stated in a signed sales contract or as required by applicable consumer protection law.

14. Limitation of Liability

To the fullest extent permitted by law:

(a) Zayrai’s total liability to you for any claim arising out of or related to these Terms, the Site, or any transaction shall not exceed the amount actually paid by you to Zayrai for the specific order or transaction giving rise to the claim.

(b) We are not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profit, loss of data, loss of business opportunity, or reputational harm, even if we have been advised of the possibility of such damages.

(c) Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Zayrai International Trading Group and its officers, employees, agents, and partners from and against any claims, damages, losses, fines, and costs (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your misuse of the Site or our products; (c) your violation of any applicable law or regulation; or (d) any fraudulent or deceptive conduct on your part.

16. Force Majeure

We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including natural disasters, war, civil unrest, government actions, trade embargoes, port closures, pandemics, strikes, or disruptions to shipping and logistics networks. We will notify you as soon as practicable and will make reasonable efforts to resume performance.

17. Export Controls & Trade Compliance

Certain products sold by Zayrai may be subject to export controls, trade sanctions, or import restrictions under Canadian, Chinese, or applicable international law. By purchasing from us, you represent that you are not located in a sanctioned jurisdiction and that the products will not be used in violation of any applicable export control or sanctions law. We reserve the right to decline or cancel any order that we believe may conflict with such laws.

18. Privacy

Our collection and use of your personal information is governed by our Privacy Policy, available on the Site and incorporated into these Terms by reference. By using the Site, you consent to the practices described in that policy.

19. Anti-Fraud

Our Anti-Fraud Policy is incorporated into these Terms by reference. You are encouraged to review it, particularly before making any payment or engaging with any communication claiming to be from Zayrai.

20. Governing Law & Dispute Resolution

20.1 Governing Law. These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

20.2 Jurisdiction. The parties submit to the exclusive jurisdiction of the courts of Ontario, Canada for the resolution of any dispute arising under these Terms, subject to Section 20.3 below.

20.3 International Transactions. For transactions involving buyers or suppliers outside Canada, we reserve the right to seek resolution through mutually agreed international arbitration under the rules of a recognized arbitral institution, as specified in a signed sales contract. Where no arbitration agreement exists, Section 20.2 applies.

20.4 Good Faith Resolution. Before initiating formal proceedings, both parties agree to make a genuine effort to resolve disputes through direct communication. You may contact us at info@zayrai.com to initiate this process.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes in our business, legal requirements, or industry practices. The “Last Updated” date at the top of this page reflects the most recent revision. Where changes are material, we will make reasonable efforts to notify registered users. Your continued use of the Site or placement of an order after updated Terms are posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

22. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from the remaining Terms, which shall continue in full force and effect.

23. Entire Agreement

These Terms, together with any signed sales contract, quotation, our Privacy Policy, Return & Refund Policy, Shipping Policy, Buyer Protection Policy, and Anti-Fraud Policy, constitute the entire agreement between you and Zayrai with respect to your use of the Site and any transaction entered into through it, and supersede all prior representations, discussions, or agreements on the same subject matter.
